Welcome to Synopsys User Forums!
Synopsys is pleased to present the Synopsys User Forums (referred to as "User Forums" in this document and excluding any services provided to you by Synopsys under a separate written agreement) which provide a place for direct and un-scripted peer-to-peer discussions about Synopsys solutions, products, services, and general EDA industry-related topics. The User Forums are a part of the Synopsys Open Community ("SynopsysOC") where users can find information on specific industry problems and Synopsys solutions. The SynopsysOC will include social-media interactions between users and topic-experts, using such means as videocasting, podcasting, blogging, and User Forums, among others.
Employees of EDA vendors are welcome to participate! Just make sure to follow the username rules described in section 2.5 of this document.

The User Forums are designed to foster technical discussions for our users. Synopsys will assign moderators to promote the objectives of the forums.
1. Your Relationship with Synopsys
1.1 Your use of User Forums is subject to the terms of a legal agreement between you and Synopsys. "Synopsys" means Synopsys Inc., whose principal place of business is at 700 E. Middlefield Road, Mountain View, CA 94043, United States. This document explains how the agreement is made up, and sets out some of the terms of that agreement.
1.2 Unless otherwise agreed in writing with Synopsys, your agreement with Synopsys will always include, at a minimum, the terms and conditions set out in this document. These are referred to herein as the "Terms."
1.3 The Terms are a legally binding agreement between you and Synopsys in relation to your use of the User Forums. It is important that you take the time to read them carefully. Before you continue, you should print off or save a local copy of these Terms for your records.
1.4 By accessing or using the User Forums, you understand and agree that Synopsys will treat your use of the User Forums as acceptance of the Terms. You may not use the User Forums if you do not accept the Terms.
1.5 You may not use the User Forums and may not accept the Terms if (a) you are not of legal age to form a binding contract with Synopsys, or (b) you are a person barred from using the User Forums by Synopsys or under the laws of the United States or other countries including the country in which you are resident or from which you use the User Forums.
2. Your Use of the User Forums
2.1 Synopsys has an open policy for the access of information on SynopsysOC sites. This means that all users are allowed to view all user forums information without being required to provide personally identifiable information. However, to post or add information to a User Forum, users will be required to register, including providing certain identification information.. You agree that any registration information you give to Synopsys will always be accurate, correct and up to date.
2.2 You agree to use the User Forums only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software to and from the United States or other relevant countries).
2.3 You agree that you will not engage in any activity that interferes with or disrupts the User Forums (or the servers and networks which are connected to the User Forums).
2.4 Although all registered users are free post to the User Forums, there are certain rules that these posts must adhere to. Breaking any of these rules may result in a post being removed or a user being barred from accessing or using the User Forums altogether. The posting rules include:
(A) No confidential information
(B) No competitive benchmarking information
(C) No Synopsys business or product strategy/roadmap
(D) No solicitation
(E) Treat other users with respect
(F) No profanity
2.5 There are other EDA user forums that ban the inclusion of competitors. Synopsys encourages everyone in EDA, whether they are competitors or not, to register and post comments and opinions. However, in the case of an EDA vendor, your username must accurately reflect the the company that you represent. Therefore, if you are employed by an EDA vendor, please use the following convention for choosing a username:
CompanyName_userame. For example: Synopsys_Aart.
2.6 You acknowledge and agree that if Synopsys disables access to your account, you may be prevented from posting to the User Forums and/or accessing your account details or any other content which is contained in your account.
3. Privacy and Your Personal Information
3.1 Synopsys will not use the identification data gathered through the User Forum registration process for marketing purposes, unless explicit permission is given by the user. In addition, that information will not be shared with any third party. Synopsys will provide opportunities throughout its web activities, for users to explicitly "opt-in" to receive product and industry information.
3.2 For information about Synopsys’ data protection practices, please read Synopsys’ privacy policy at http://www.Synopsys.com/snps_privacy.html. This policy explains how Synopsys treats your personal information, and protects your privacy, when you use the User Forums and other Synopsys products and services.
3.3 You agree to the use of your data in accordance with Synopsys’ privacy policies.
4. Content in the User Forums
4.1 You understand that all information and other content which you may have access to as part of, or through your use of, the User Forums are the sole responsibility of the person(s) from which such content originated. All such information is referred to below as the "Content."
4.2 Synopsys reserves the right (but shall have no obligation) to review and remove any or all Content from any User Forum. You understand that by using the User Forums you may be exposed to Content that you may find offensive, indecent or objectionable and that, in this respect, you use the User Forums at your own risk. You agree that you are solely responsible for (and that Synopsys has no responsibility to you or to any third party for) any Content that you create, transmit or display while using the User Forums and for the consequences of your actions (including any loss or damage which Synopsys may suffer) by doing so.
4.3 You retain copyright and any other rights you already hold in Content which you submit, post or display on or through, the User Forums. By submitting, posting or displaying the content you give Synopsys a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute any Content which you submit, post or display on or through, the User Forums for any purpose whatsoever.
4.4 You agree that this license includes a right for Synopsys to make such Content available to other users of the User Forums.
4.5 You confirm and warrant to Synopsys that you have all the rights, power and authority necessary to grant the above license.
4.6 The form and nature of the User Forums which Synopsys provides may change from time to time without prior notice to you. In addition, Synopsys may stop (permanently or temporarily) providing the User Forums (or any features within the User Forums) to you or to users generally at Synopsys’ sole discretion, without prior notice to you.
5. Ending Your Relationship with Synopsys
5.1 The Terms will continue to apply until terminated by either you or Synopsys as set out below.
5.2 If you want to terminate your legal agreement with Synopsys, you may do so by (a) notifying Synopsys at any time or (b) closing your Synopsys User Forums Account.
5.3 Synopsys may at any time, terminate its legal agreement with you if:
(A) you have breached any provision of the Terms (or have acted in manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the Terms); or
(B) Synopsys is required to do so by law (for example, where the provision of the User Forums to you is, or becomes, unlawful); or
(C) Synopsys is transitioning to no longer providing the User Forums to users in the country in which you are resident or from which you use the User Forum; or
(D) the provision of the User Forum to you by Synopsys is, in Synopsys’ opinion, no longer commercially viable.
5.4 When these Terms come to an end, all of the legal rights, obligations and liabilities that you and Synopsys have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of Section 8.6 shall continue to apply to such rights, obligations and liabilities indefinitely.
6. EXCLUSION OF WARRANTIES
6.1 NOTHING IN THESE TERMS, INCLUDING SECTIONS 6 AND 7, SHALL EXCLUDE OR LIMIT SYNOPSYS’ WARRANTY OR LIABILITY FOR LOSSES WHICH MAY NOT BE LAWFULLY EXCLUDED OR LIMITED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR CONDITIONS OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR LOSS OR DAMAGE CAUSED BY NEGLIGENCE, BREACH OF CONTRACT OR BREACH OF IMPLIED TERMS, OR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, ONLY THE LIMITATIONS WHICH ARE LAWFUL IN YOUR JURISDICTION WILL APPLY TO YOU AND OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
6.2 YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE USER FORUMS IS AT YOUR SOLE RISK AND THAT THE USER FORUMS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
6.3 IN PARTICULAR, SYNOPSYS, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS DO NOT REPRESENT OR WARRANT TO YOU THAT:
(A) YOUR USE OF THE USER FORUMS WILL MEET YOUR REQUIREMENTS,
(B) YOUR USE OF THE USER FORUMS WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR, AND
(C) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF YOUR USE OF THE USER FORUMS WILL BE ACCURATE OR RELIABLE.
6.4 ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE USER FORUMS IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
6.5 NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SYNOPSYS OR THROUGH OR FROM THE USER FORUMS SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.
6.6 SYNOPSYS FURTHER EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
7. LIMITATION OF LIABILITY
7.1 SUBJECT TO OVERALL PROVISION IN SECTION 6.1 ABOVE, YOU EXPRESSLY UNDERSTAND AND AGREE THAT SYNOPSYS, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE TO YOU FOR:
(A) ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY DAMAGES WHICH MAY BE INCURRED BY YOU, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. THIS SHALL INCLUDE, BUT NOT BE LIMITED TO, ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA SUFFERED, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSS;
(B) ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU, INCLUDING BUT NOT LIMITED TO LOSS OR DAMAGE AS A RESULT OF:
(I) ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY CONTENT, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY OTHER USER OF THE USER FORUMS;
(II) ANY CHANGES WHICH SYNOPSYS MAY MAKE TO THE USER FORUMS, OR FOR ANY PERMANENT OR TEMPORARY CESSATION IN THE PROVISION OF THE USER FORUMS (OR ANY FEATURES WITHIN THE USER FORUMS);
(III) THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE, ANY CONTENT AND OTHER COMMUNICATIONS DATA MAINTAINED OR TRANSMITTED BY OR THROUGH YOUR USE OF THE USER FORUMS; OR
(IV) YOUR FAILURE TO PROVIDE SYNOPSYS WITH ACCURATE ACCOUNT INFORMATION.
7.2 THE LIMITATIONS ON SYNOPSYS’ LIABILITY TO YOU IN SECTION 7.1 ABOVE SHALL APPLY WHETHER OR NOT SYNOPSYS HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING.
8. General Legal Terms
8.1 The Terms constitute the whole legal agreement between you and Synopsys and govern your use of the User Forums (but excluding any User Forum which Synopsys may provide to you under a separate written agreement), and completely replace any prior agreements between you and Synopsys in relation to the User Forums.
8.2 You agree that Synopsys may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the User Forums.
8.3 You agree that if Synopsys does not exercise or enforce any legal right or remedy which is contained in the Terms (or which Synopsys has the benefit of under any applicable law), this will not be taken to be a formal waiver of Synopsys’ rights and that those rights or remedies will still be available to Synopsys.
8.4 If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.
8.5 You acknowledge and agree that each member of the group of companies of which Synopsys is the parent shall be third party beneficiaries to the Terms and that such other companies shall be entitled to directly enforce, and rely upon, any provision of the Terms which confers a benefit on (or rights in favor of) them. Other than this, no other person or company shall be third party beneficiaries to the Terms.
8.6 The Terms, and your relationship with Synopsys under the Terms, shall be governed by the laws of the State of California without regard to its conflict of laws provisions. You and Synopsys agree to submit to the exclusive jurisdiction of the courts located within the county of Santa Clara, California, to resolve any legal matter arising from the Terms. Notwithstanding this, you agree that Synopsys shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
